Memorandum of Association  

The Polish Council for Supplements and Nutritional Foods

-------------------------------------------------Section I---------------------------------------------------

------------------------------------------General provisions-----------------------------------------------

 

----------------------------------------------------§ 1.--------------------------------------------------------

The association named "The Polish Council for Supplements and Nutritional Foods", hereinafter referred to as "Association", acts on the basis of provisions of the act :on the law of associations (Journal of Laws of 2001 No. 79, entry 855 with amendments) as well as on the grounds of this Memorandum.--------------------

 

-----------------------------------------------------§ 2.-------------------------------------------------------

The Association has the status of a legal entity.----------------------------------------------------------------

 

-----------------------------------------------------§ 3.-------------------------------------------------------

The seat of the Association shall be Warsaw.-------------------------------------------------------------------

 

------------------------------------------------------§ 4.------------------------------------------------------

  1. The Association shall carry out its activity on the territory of the Republic of Poland.---------------------
  2. For the purpose of attaining its objects, the Association may also conduct activity abroad.--------------

 

------------------------------------------------------§ 5.------------------------------------------------------

The Association may be a member of national and international organizations of alike objects and tasks of their activity, or it may cooperate with such.--------------------------------------------------------------------------

 

----------------------------------------------------------§ 6.--------------------------------------------------------

The Association has been established for an indefinite period of time.-----------------------------------------

 

------------------------------------------------Section II----------------------------------------------------

---------------Objects of the Association and methods of their attainment--------------

 

------------------------------------------------------§ 7. -----------------------------------------------------

The objects of the Association shall be as follows:-----------------------------------------------

  1. Supporting development of the trade of diet supplement and nutritional food----------------------------
  2. Carrying out popularizing and educational activities in regard to diet supplements and nutritional foods------------------------------------------------------------------------------------------------------------
  3. Dissemination of knowledge on diet supplementation----------------------------------
  4. Acting for the adjustment of legal regulations so as to comply with the latest scientific findings on diet supplementation-----------------------------------------------------------------------------------------------
  5. Organizational and material assistance to legal entities and natural persons acting in the trade of diet supplements and nutritional foods.---------------------------------------------------------------------------

 

§ 8.

The Association shall pursue its statutory objects by:-------------------------------------------

  1. Cooperation with state institutions, European Union entities as well as social organizations acting within the scope of the Association's objects-----------------------------------------------------------------
     
  2. Development and promulgation of new methods and techniques of promotion, use and production of diet supplements and nutritional foods----------------------------------------------------------------------
  3. Domestic and international cooperation with natural persons and institutions interested in the objects of activity of the Association-----------------------------------------------------------------------------------
  4. Dissemination of detailed and reliable information on safeness and the role of supplements and nutritional foods in a well-balanced diet, in particular, by passing scientific nutrition information to media, consumers and members of the Association--------------------------------------------------------
  5. Supporting research and development activities aimed at promoting the use of diet and food supplementation and nutrients--------------------------------------------------------------------------------
  6. Creating favorable political and legal conditions for development of the business of diet supplements and nutritional foods-------------------------------------------------------------------------------------------
  7. Representing interests of the Association members in court proceedings----------------------------------
  8. Propagation of the Good Manufacturing Practice as well as observance of strict safety standards in free sale-------------------------------------------------------------------------------------------------------------
  9. Consulting services as well as organizational and economic assistance, training of the Association members and other persons and entities interested in the activity of the Association--------------------
  10. Organizing cultural, recreational and social activities aimed at integrating members of  the Association------------------------------------------------------------------------------------------------------
     
  11. Ensuring exchange of information, cooperation and mutual assistance to members of the Association-------------------------------------------------------------------------------------------------------------------

 

-----------------------------------------------------§ 9.-------------------------------------------------------

For realization of its statutory objects, the General Meeting of the Association may resolve on the establishment of internal units and work out their bylaws. -----------------

 

-----------------------------------------------------§ 10.-----------------------------------------------------

  1. In pursuing its statutory objects, the Association relies on a voluntary work of its members----------------------------------------------------------------------------------------
  2. The  Association may employ its own staff to conduct its activity.-------------------
  3. Provisions of the point 1 above do not preclude employment of the Board members by the Association with regard to the functions they perform.-----------

 

---------------------------------------------------Section III------------------------------------------------

-------------------------------------------------Membership----------------------------------------------

 

--------------------------------------------------------§11.---------------------------------------------------

An ordinary member of the Association may be:--------------------------------------------------

  1. a Polish national of age having full civil rights and----------------------------------------------------------
  2. a foreigner, also the one residing outside the territory of the Republic of Poland,------------------------

involved in production, importing, sale or testing of diet supplements and nutrients.----------------------------

 

--------------------------------------------------------§ 12.--------------------------------------------------

Supportive members of the Association may be legal entities, that in the range of their activity conducted on the territory of the Republic of Poland, are involved in production, importing, sale or testing of diet supplements and nutrients.-------------------------------------------------------------------------------------------

 

--------------------------------------------------------§ 13.--------------------------------------------------

Members who applied for membership before registration of the Association in the National Court Register, shall have the status of a Founder Member.-------------------------------------------------------------------------

 

--------------------------------------------------------§ 14.--------------------------------------------------

  1. The members of the Association may be natural persons and legal entities, who shall present letters of recommendation of at least 2 members of the Association and who shall  submit a declaration of accession in writing, approved with an appropriate resolution of the Board.-------------------------------
  2. A substantiated resolution denying acceptance of a person as a supportive member of the Association may be appealed to the General Meeting of the Members. A resolution passed thereupon by the General Meeting of Members shall be definite.--------------------------------------------------------------

 

----------------------------------------------------------§ 15.------------------------------------------------

Membership shall be lost due to:----------------------------------------------------------------------

  1. renouncement of membership made in writing in a letter of resignation submitted directly to the Board of the Association---------------------------------------------------------------------------------------
  2. Expulsion of the Association-----------------------------------------------------------------------------------
  3. Death or legal incapacitation or a legally valid court's judgment ordering deprivation of civil rights of a natural person being the Association member---------------------------------------------------------------
  4. Loss of the status of legal entity by a supportive member--------------------------------------------------
  5. Dissolution of the Association---------------------------------------------------------------------------------

 

---------------------------------------------------------§ 16.-------------------------------------------------

Exclusion from the membership list shall be made by the Board and it shall be of a declaratory character.----

 

---------------------------------------------------------§ 17.-------------------------------------------------

Expulsion from the Association shall take place in the following cases:--------------------------------------------

  1. running of the activity contrary to the present Memorandum or resolutions passed by the Association--
  2. being in arrears with payment of a membership contribution fee for at least two payment terms-------
  3. upon a written, substantiated motion of at least 10 members of the Association for reasons specified in point 1 above------------------------------------------------------------------------------------------------
  4. in case a member has definitely stopped the activity related to statutory objects of the Association----
  5. in case of legally valid ruling stating bankruptcy of a member or in case the court shall dismiss the bankruptcy petition when the property of the member being an insolvent debtor shall not suffice to cover the charges of the court proceedings-------------------------------------------------------------------
  6. upon decision of the Fellow Members Arbitration Body.-------------------------------

 

-----------------------------------------------------§ 18.-----------------------------------------------------

Decision on the expulsion of a member shall be univocally taken by the Board of the Association.-------------

 

------------------------------------------------------§ 19.----------------------------------------------------

With regard to expulsion by the Board's resolution, a member shall have the right to appeal to the General Meeting of the Association Members in 21 days following the receipt of this resolution. The appeal shall be submitted to the Association's Board that shall place it on the agenda of the next General Meeting of Members. Resolution passed by the General Meeting shall be final and closing.---------------------------------

 

--------------------------------------------------------§ 20.--------------------------------------------------

Members of the Association shall be obliged to:--------------------------------------------------------------------

  1. observe and comply with the statutory provisions-----------------------------------------------------------
  2. participate in the Association activities------------------------------------------------------------------------
  3. abide by the ethic code of the Association-------------------------------------------------------------------
  4. contribute to development and growth of significance of the Association by apt attitudes and actions--
  5. preserve and protect good reputation of the Association----------------------------------------------------
  6. care for the image of the dietary supplements and nutrients business -----------------------------------
  7. timely effect membership fees or other charges due to the Association-----------------------------------

 

---------------------------------------------------------§ 21.-------------------------------------------------

The ordinary member of the Association shall be entitled to:------------------------------------------------------

  1. active and passive vote----------------------------------------------------------------------------------------
  2. participate in Association's bodies----------------------------------------------------------------------------
  3. participate in the Association's activities, and in particular, to put forward motions and opinions as well as to lodge complaints in all matters related to the objects and functioning of the Association----------
  4. free of charge use of all the appliances and assets of the Association appropriated for a common use--------------------------------------------------------------------------------------------------------------
  5. receive the Association's recommendation in regard to his business activity------------------------------
  6. put forward motions in all the matters related to the Association.------------------------------------------

 

---------------------------------------------------§ 22.-------------------------------------------------------

Supportive members shall be vested with all the rights enlisted in the foregoing paragraph save the active and passive vote.------------------------------------------------------------------------------------------------------

 

 

------------------------------------------------Section IV--------------------------------------------------

----------------------------------------Association's Bodies-------------------------------------------

 

---------------------------------------------------§ 23.-------------------------------------------------------

The Association shall have the following bodies:

  1. General Meeting of Members, hereinafter referred to as "General Meeting"-------------------------------
  2. the Board-------------------------------------------------------------------------------------------------------
  3. Audit Committee-----------------------------------------------------------------------------------------------
  4. Fellow Members Arbitration Body------------------------------------------------------------------------------

 

----------------------------------------------------§ 24.------------------------------------------------------

The term of office of all the elected bodies of the Association shall be 3 years.----------------------------------

 

-----------------------------------------------------§ 25.-----------------------------------------------------

In case the manning of the Board, Audit Committee or Fellow Members Arbitration Body shall be reduced during the term of office, the new member(s) shall be appointed by the rest of the members of the body. The number of new members shall not be greater than a half of the original manning of a given body.-------

 

--------------------------------------------------------§ 26.--------------------------------------------------

Resolutions of all the Association's bodies shall be adopted by a majority of votes with at least 50% of the members entitled to vote being present, unless other statutory regulations provide otherwise.-----------------

 

--------------------------------------------------------§ 27.--------------------------------------------------

The supreme body of the Association shall be the General Meeting.-----------------------------------------------

 

--------------------------------------------------------§ 28.--------------------------------------------------

In matters to which the Memorandum does not specify competence of the Association's bodies, resolutions and all the decisions shall be made by the General Meeting.-------------------------------------------------------

 

---------------------------------------------------------§ 29.-------------------------------------------------

  1. The General Meeting may be attended by ordinary members of the Association as well as supportive members and invited guests, the latter two being a consultative forum.---------------------------------
  2. Each ordinary member shall have one vote.-----------------------------------------------------------------

 

----------------------------------------------------------§ 30.------------------------------------------------

The General Meeting shall be convened by the Board,  at least once in twelve months or more often, as well as upon a substantiated motion in writing put forward by at least 1/4 of the members of the Audit Committee or upon a written motion filed by at least 1/5 of the Association members. The Board shall be responsible for notifying the date, place and agenda of the General Meeting to all the members by registered mail or in any other effective way, at least 14 days prior to the meeting.-----------------------------

 

------------------------------------------------------§ 31.----------------------------------------------------

  1. The General Meeting shall be attended by at least 50% of the members entitled to vote. In case the required minimum of votes was not present, the President of the Board shall be entitled to set the second term of the General Meeting. This term may be appointed one hour later on the same day. In such a case the General Meeting may effectively debate and pass binding resolutions regardless the number of the votes present.---------------------------------------------------------------------------------
  2. The General Meeting shall be presided by the President of Vice-President of the Board, or any other member of the Association elected for the purpose by the General Meeting. Minutes shall be taken from the debates and voting.---------------------------------------------------------------------------------
  3. Resolutions of the General Meeting shall be adopted by an open voting, unless voting by secret shall be ordered upon a motion filed by three members. Election of the Association bodies shall be voted by secret ballot.----

 

-------------------------------------------------§ 32.---------------------------------------------------------

The General Meeting shall decide, in particular, on the following matters:-----------------------------------------

  1. Working out long-term and annual programs of the Association's activity---------------------------------
  2. Examining and approving the reports produced by the Board and Audit Committee----------------------
  3. Resolving on the following issues:----------------------------------------------------------------------------

          a)     enacting the ethic code of the Association-------------------------------------------------------------

          b)     granting approval of the outgoing Board---------------------------------------------------------------

          c)      electing the members of the Board and Audit Committee--------------------------------------------

          d)     amending the Memorandum---------------------------------------------------------------------------,

          e)     establishing by the Association other internal units and enacting their bylaws----------------------

           f)     dissolving of the Association----------------------------------------------------------------------------

          g)     appeals to the Board's resolutions as provided in the Memorandum--------------------------------

          h)      electing members of the Fellow Members Arbitration Body-------------------------------------------

           i)        appeals to the decisions taken by the Fellow Members Arbitration Body--------------------------

           j)        employment and salaries of the members of the Board-------------------------------------------

           k)      fixing the amount of membership contributions-----------------------------------------------------

           l)        approving the financial plan proposed by the Board for the current financial year----------------

 

------------------------------------------------------§ 33.----------------------------------------------------

  1. Resolutions on recalling of the President, members of the Board, Auditor Committee and Fellow Members Arbitration Body as well as dissolution of the Association shall require an absolute majority of votes of a half of all the voting members present.-------------------------------------------------------
  2. In case the General Meeting shall be convened in the second term, resolutions on the issues specified in point 1 above shall not require the quorum.----------------------------------------------------

 

-----------------------------------------------------§ 34.-----------------------------------------------------

  1. The Board shall be composed of 3 members: the President and two Vice Presidents. The President and Vice Presidents shall be elected by the Board members themselves. The Board shall be established at its first meeting following the election.-------------------------------------------------------
  2. The members of the Board shall not be restricted in regard to their election to successive terms of office.---------------------------------------------------------------------

 

-----------------------------------------------------§ 35.-----------------------------------------------------

Competences of the Board include:-----------------------------------------------------------------------------------

  1. representation of the Association and acting on its behalf--------------------------------------------------
  2. management of day-to-day work of the Association---------------------------------------------------------
  3. management of the funds and assets of the Association including budget fixing-------------------------
  4. convening and preparing General Meetings------------------------------------------------------------------
  5. resolving on accepting or refusing the acceptance of a new member of the Association and on expulsion of a member of the Association-------------------------------------------------------------------
  6. changing the amount of membership contributions as per § 36 point 2-----------------------------------
  7. contracting employees-----------------------------------------------------------------------------------------
  8. appointing counselors------------------------------------------------------------------------------------------
  9. specifying duties of employees and counselors--------------------------------------------------------------
  10. fixing the remuneration of the auditor and other employees of the Association--------------------------
  11. defining and changing the financial year---------------------------------------------------------------------

 

-------------------------------------------------------§ 36.---------------------------------------------------

 

  1. (deleted)--------------------------------------------------------------------------------------------------------
  2. Membership contributions may be increased by the Board only once a year, subject to reasonably justified needs of the Association  previously outlined in the budget. Should the membership contribution be increased by more than 30% of the currently paid fee, it will have to be approved by the General Meeting in the form of a due resolution passed.-----------------------------------------------

 

-------------------------------------------------------§ 37.---------------------------------------------------

The right to represent the Association shall be vested on:----------------------------------------------------------

  1. The President - alone------------------------------------------------------------------------------------------
  2. Vice Presidents - jointly----------------------------------------------------------------------------------------
  3. In case of financial obligations or dispositions of the Association property in the amount exceeding 25,000.00 PLN, their effectiveness shall require an approval by the Audit Committee--------------------

 

----------------------------------------------------------§ 38.------------------------------------------------

The Audit Committee shall be composed of 3 to 5 members appointed by the General Meeting, including a chairman and one deputy chairman.---------------------------------------------------------------------------------

 

-----------------------------------------------------------§ 39.-----------------------------------------------

The Audit Committee shall be entitled to:---------------------------------------------------------------------------

  1. control of the current activities of the Association, its financial policy in particular-------------------------
  2. lodge motions for approvals of the Board at the General Meeting------------------------------------------
  3. select an auditor to examine the financial statement of the Association pursuant to regulations on
    accountancy. Audit Committee shall notify all the members on the choice of an auditor with a registered mail sent in 14 days after the auditor was chosen.----------------------------------------------
  4. lodge a motion requesting to convene the General Meeting.-----------------------------------------------
  5. approve the Board actions specified in § 37 point 3 hereof.------------------------------------------------

 

-----------------------------------------------------§ 40.-----------------------------------------------------

In case the Board shall request the Audit Committee to approve of an action mentioned in § 37 point 3 of the Memorandum, the Audit Committee shall convene in 7 days following the receipt of the said motion by the chairman of the Audit Committee.--------------------------------------------------------------------------------

 

-----------------------------------------------------§ 41.-----------------------------------------------------

The Fellow Members Arbitration Body shall be composed of 3 to 5 members of the Associations who are not the members of the Board or Audit Committee.---------------------------------------------------------------------

------------------------------------------------------§ 42.---------------------------------------------------------

  1. The Fellow Members Arbitration Body shall be entitled to investigate conflicts between members of the Association as well as those between the Association bodies and members of the Association.---------
  2. The Arbitration Body shall close its proceedings with a decision that will be made known to all the Association's members.----------------------------------------------------------------------------------------
  3. The Fellow Members Arbitration Body may impose the following penalties on a member of the Association:-----------------------------------------------------------------------------------------------------

       a)     Reprehension------------------------------------------------------------------------------------------

        b)     Serious reprimand------------------------------------------------------------------------------------

        c)      Expulsion of the Association-------------------------------------------------------------------------

  4. The parties in litigation shall be entitled to appeal the decision of the Fellow Members Arbitration Body to the next General Meeting.----------------------------------------------------------------------------------
  5. Decisions of the Arbitration Body must be taken by all its members at full strength.---------------------

 

 

------------------------------------------------Section V---------------------------------------------------

---------------------------------The Association's property-----------------------------------------

 

---------------------------------------------------§ 43.-------------------------------------------------------

  1. The property of the Association shall be made up of the membership contributions, donations, inheritance, legacies, proceeds from the Association's activity, voluntary work of the members, public contributions and subventions in compliance with principles provided for by appropriate legal regulations.-----------------------------------------------------------------------------------------------------
  2. The property of the Association shall serve the purpose of its statutory objects.

 

 

-------------------------------------------------Section VI-------------------------------------------------

---------------------------------Amendment of the Memorandum---------------------------------

 

-----------------------------------------------------§ 44.-----------------------------------------------------

  1. Amendments to the Memorandum may be motioned by any member of the Association and shall be submitted to the Board at least 21 days prior to the planned General Meeting when they are to be discussed.------------------------------------------------------------------------------------------------------
  2. Amendment to the Memorandum shall become valid after it has been registered by a competent court.------------------------------------------------------------------------------------------------------------

 

 

-------------------------------------------------Section VII-------------------------------------------------

---------------------------------------------Final provisions---------------------------------------------

 

-----------------------------------------------------§ 45.-----------------------------------------------------

The Association shall be dissolved on the grounds of a resolution by the General Meeting adopted by a majority of 3/4 cast votes at the presence of at least 1/2 of the Association members entitled to vote or in other cases stipulated by the law.-------------------------------------------------------------------------------------

 

-----------------------------------------------------§ 46.-----------------------------------------------------

  1. Resolution on dissolving the Association shall determine the method of its liquidation and appropriation of the Association's assets.--------------------------------------------------------------------
  2. Upon dissolution of the Association, all the outstanding assets shall be distributed among the members in proportion to their contributions.----------------

 

-----------------------------------------------------§ 47.-----------------------------------------------------

To matters not regulated with the present statute, the regulations shall apply of the act on the Association Law of April 7, 1989 (Journal of Laws 01.79.855 with amendments)-----------------------------------------------
